Terms Of Service

These Terms of Service govern the use of the organization’s offerings, including advisory services, software implementations, and other deliverables. By engaging with the company or using its offerings, users and clients accept these terms in full. If there is a written contract executed between the company and a client that contains terms addressing the same subject matter, the contract will typically govern to the extent it expressly modifies or supersedes these general terms.

Acceptance of Terms

Use of the company’s services is conditioned on acceptance of these terms. Where services are provided under a separate agreement, that agreement may include additional obligations and rights. Users who do not agree to the terms should not access or use the services. The company reserves the right to suspend access for any breach of these terms pending remediation.

Service Usage and User Responsibilities

Clients and users agree to provide accurate information necessary for the delivery of services and to cooperate in good faith with information requests and implementation activities. The organization may rely on client-provided materials and access to systems; where such access is restricted or inaccurate, delivery timelines and outcomes may be affected. Users must not use the services for unlawful purposes or attempt to interfere with the operation of the company’s systems.

Intellectual Property

Unless expressly stated otherwise in a separate agreement, the company retains ownership of its methodologies, templates, tools, and pre-existing intellectual property. Deliverables created specifically for a client may be assigned or licensed as set out in the applicable engagement agreement. Clients are granted a limited license to use deliverables for their internal business purposes, subject to any restrictions outlined in the contractual terms.

Limitation of Liability

The company’s liability for any claim arising from the use of its services is limited to the fees paid for the specific service that gave rise to the claim, except where otherwise required by applicable law. The company is not liable for indirect, incidental, consequential, or punitive damages, including lost profits, loss of data, or business interruption, except as may be required by law. Nothing in these terms excludes liability for gross negligence or willful misconduct where such exclusion is unenforceable.

Indemnification

Clients agree to indemnify and hold the company harmless from third-party claims arising from client-provided content, misuse of deliverables, or failure to comply with applicable laws. This indemnity does not apply to claims resulting from the company’s negligent or intentional misconduct.

Termination

Either party may terminate a service engagement as provided in the applicable engagement agreement. In the absence of a written agreement, the company may terminate services upon written notice for material breach or for convenience with reasonable notice. Upon termination, the client will pay for services performed and costs incurred up to the date of termination. Provisions that by their nature should survive termination—such as intellectual property rights, indemnities, and limitations of liability—will continue in effect.

Changes to Terms

The company may update these Terms of Service periodically. Substantive changes affecting the rights or obligations of clients will be communicated in a reasonable manner. Continued use of services after changes are posted constitutes acceptance of the updated terms. Clients engaged under separate contracts will be governed by those contractual provisions unless expressly amended.

These Terms of Service are governed by applicable law as specified in the engagement agreement or, absent such specification, by the law of the jurisdiction where the company has its principal place of business. Any disputes will be handled according to dispute resolution clauses contained in the engagement documentation or, if none exists, through the legal process available in the governing jurisdiction.
